Agreement to these terms
These Terms and Conditions (“Terms”) govern your use of EMSOps, including the website at emsops.net, the EMSOps application at emsops.app, and our text message notifications (together, the “Service”), provided by webMEDIX LLC (“webMEDIX,” “we,” “us”).
By creating an account, accepting an invitation, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an agency or organization, you agree to these Terms on its behalf and confirm you have authority to do so. If your Agency has signed a separate written agreement with webMEDIX, that agreement controls where it conflicts with these Terms.
The Service
EMSOps helps EMS agencies (“Agencies”) manage scheduling, shifts, personnel, events, notifications, and related operations for their members, employees, and volunteers (“Users”). We may add, change, or remove features over time.
Not an emergency or dispatch system
EMSOps is not a 911, emergency dispatch, or emergency alerting system. Do not rely on EMSOps notifications, including text messages, to respond to emergencies or to dispatch units or personnel. Notifications can be delayed or fail to deliver for reasons outside our control. Agencies are responsible for maintaining their own dispatch and emergency communication systems.
Accounts
- You must provide accurate information and keep it up to date.
- You are responsible for keeping your login credentials confidential and for activity under your account. Tell us promptly at support@emsops.net if you suspect unauthorized access.
- Agency administrators control who has access to their Agency’s account and what each User can see and do. An Agency may remove your access at any time.
Agency responsibilities
Each Agency is responsible for:
- The accuracy and lawfulness of the data it and its Users enter, including schedules, time records, and certifications.
- Obtaining any consents and giving any notices required to add personnel to EMSOps and to share their data with integrations the Agency enables.
- Its own compliance with employment, wage and hour, and other laws that apply to its operations. EMSOps is a tool and does not provide legal, payroll, or HR advice.
Acceptable use
You agree not to:
- Use the Service for anything unlawful, harmful, or fraudulent.
- Use the Service as a patient care record or enter more patient information than is needed for an operational record.
- Access accounts or data you are not authorized to access, or share your login credentials.
- Interfere with, disrupt, probe, or overload the Service or its security.
- Copy, reverse engineer, resell, or build a competing product from the Service.
- Use the Service to send spam or messages to people who have not consented to receive them.
Text messaging program
These terms apply to EMSOps text message notifications sent by SMS or RCS.
- Program. EMSOps Alerts sends account and scheduling notifications to Agency personnel who opt in, including shift reminders, schedule changes, open-shift notices, shift swap updates, event reminders, and account alerts. We do not send marketing messages.
- Opting in. You opt in by entering your mobile number and checking the text message consent box in your EMSOps notification settings. Consent is not a condition of employment, membership, or purchase.
- Frequency. Message frequency varies based on your schedule and Agency activity.
- Cost. Message and data rates may apply. Check with your mobile carrier for details on your plan.
- Opting out. Reply STOP to any message to stop receiving texts. You will receive one confirmation message, and no further messages will be sent unless you opt in again. You can also turn off text notifications in your settings.
- Help. Reply HELP to any message, or contact support@emsops.net.
- Delivery. Mobile carriers are not liable for delayed or undelivered messages.
- Your number. If you change or give up your mobile number, update or remove it in EMSOps so messages are not sent to someone else.
Our handling of your mobile information is described in our Privacy Policy. No mobile information will be sold or shared with third parties for promotional or marketing purposes.
Fees and payments
Agencies agree to pay the fees for their subscription plan as shown at signup or in their order. Fees are billed in advance, are non-refundable except as required by law or stated in writing, and exclude taxes, which the Agency is responsible for. We may change fees with at least 30 days’ notice, effective at the next billing period.
If an Agency uses EMSOps to accept payments through a third-party payment processor, those payments are subject to the processor’s own terms, and the processor, not webMEDIX, is responsible for handling the funds. Any platform or vendor fees that apply will be disclosed to the Agency before it enables the processor.
Third-party services
The Service can connect to third-party services such as payroll providers, payment processors, and calendar apps. We do not control those services and are not responsible for them. Your or your Agency’s use of them is governed by their terms and privacy policies.
Your data
Agencies and Users keep ownership of the data they put into EMSOps (“Customer Data”). You give us permission to host, process, and display Customer Data as needed to provide and support the Service and as described in our Privacy Policy. An Agency may request an export of its Customer Data before its account closes.
Our intellectual property
webMEDIX owns the Service, including its software, design, and branding. We give you a limited, non-exclusive, non-transferable right to use the Service under these Terms during your Agency’s subscription. If you send us feedback or suggestions, we may use them without obligation to you.
Suspension and termination
You may stop using the Service at any time. An Agency may cancel its subscription as described in its plan. We may suspend or end access if you breach these Terms, fail to pay fees, or create a security or legal risk, and we will give notice when reasonably possible. Sections that by their nature should survive termination will survive, including those on fees owed, intellectual property, disclaimers, limitation of liability, and indemnification.
Disclaimers
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, webMEDIX disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that notifications will be delivered on time or at all.
Limitation of liability
To the fullest extent permitted by law, webMEDIX will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to the Service. Our total liability for any claim related to the Service is limited to the amount the Agency paid us in the 12 months before the event giving rise to the claim, or $100 if no fees were paid.
Indemnification
You and your Agency agree to defend and indemnify webMEDIX against claims, losses, and expenses, including reasonable attorneys’ fees, arising from your misuse of the Service, your Customer Data, or your violation of these Terms or of law.
Governing law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Pike County, Pennsylvania, and you consent to their jurisdiction.
Changes to these terms
We may update these Terms from time to time. When we do, we will change the effective date at the top of this page, and if the changes are material we will notify Agencies or Users by email or in the Service. Continuing to use the Service after changes take effect means you accept the updated Terms.
